Section 01

Overview

Welcome to SBSCommerce. These Terms of Service ("Terms") govern your access to and use of sbscommerce.com and all services provided by SBSCOMMERCE LLC ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Section 02

Services Provided

SBSCommerce specializes in paid advertising management, including Google Ads (Search, Shopping, Performance Max, Display) and Meta Ads (Facebook and Instagram), conversion tracking setup, audience strategy, creative testing, and performance marketing consulting for e-commerce brands. The specific scope of work, deliverables, and timelines will be outlined in a separate proposal, invoice, or Statement of Work (SOW) provided prior to the start of any engagement.

Section 03

Client Responsibilities

To ensure timely and effective delivery of our paid advertising services, the client agrees to:

  • Provide necessary access to their Google Ads account, Meta Business Manager, Google Analytics (GA4), Google Tag Manager, and any other relevant platforms as required
  • Supply required brand assets (logos, creative materials, product feeds, tone of voice documentation) in a timely manner, unless asset creation is explicitly included in the SOW
  • Provide prompt feedback and approvals on ad creatives, audience strategies, and campaign recommendations during designated review stages
  • Maintain sufficient ad budget in their ad accounts and notify us promptly of any budget changes that may affect campaign performance
  • Refrain from making unauthorized changes to live campaigns, ad sets, audiences, or bidding strategies without prior consultation
Section 04

Payment Terms & Billing

Payments are processed securely via Stripe. Our billing terms are as follows:

  • Monthly Plans: Billed at the start of each billing cycle. Service is active for the duration of the paid period. Note that ad spend is billed separately and directly through your own ad accounts (Google Ads, Meta).
  • Custom Projects: Require an upfront, non-refundable deposit (typically 50% of total project cost) before work commences, unless otherwise stated in your proposal.
  • Final Payment: For project-based work, the remaining balance is due upon completion, prior to final deliverable handover.
  • Late Payments: We reserve the right to pause active campaigns or withhold deliverables if invoice payments are delayed beyond the agreed payment date.
Section 05

Cancellations & Refunds

Because our services involve dedicated time, research, campaign setup, and strategic execution:

  • Monthly Plans: Clients may cancel at any time with at least 30 days' written notice before the next billing cycle. No prorated refunds for mid-cycle cancellations — service continues until the end of the current paid period.
  • Project Deposits: Once work has commenced or strategy sessions have been conducted, the deposit is strictly non-refundable.
  • Mid-Project Cancellations: Either party may cancel with written notice. The client will be billed for all work completed at our standard rate, or the deposit will be forfeited — whichever is greater.
  • We do not offer refunds on completed deliverables, live campaigns, or deployed tracking implementations.

Section 06

No Guarantee of Results

Paid advertising performance is influenced by numerous external factors including platform algorithm changes, auction dynamics, competitor activity, seasonality, product pricing, and landing page quality.

SBSCommerce does not guarantee specific ROAS figures, revenue outcomes, cost-per-acquisition targets, or traffic volumes. While we apply proven methodologies and industry best practices, ad performance is inherently variable. Any projections or estimates provided are based on historical data and professional judgment and should not be interpreted as guarantees.
Section 07

Intellectual Property

Upon final payment in full, the client assumes full ownership of all ad creatives, campaign structures, and tracking configurations created specifically for their project.

SBSCommerce retains the right to showcase completed work in our portfolio, case studies, and marketing materials — including anonymized performance metrics — unless a specific Non-Disclosure Agreement (NDA) has been signed prior to the engagement.

Proprietary tools, frameworks, processes, and templates developed by SBSCommerce remain our exclusive intellectual property and are not transferred to the client.

Section 08

Limitation of Liability

SBSCommerce strives to deliver high-impact, error-free paid advertising strategies and implementations. However:

We shall not be held liable for any indirect, incidental, or consequential damages — including lost profits, lost ad spend, or data loss — arising from the use of our services, third-party platform changes (e.g., Google or Meta algorithm updates, platform outages, policy changes), or decisions made by the client contrary to our recommendations.
Section 09

Scope Changes & Additional Work

Each engagement includes a defined scope as specified in your proposal or SOW. Requests for additional campaigns, platforms, creative assets, or services outside the original scope will be treated as additional work and quoted separately before any extra work begins.

Section 10

Dispute Resolution & Chargebacks

We ask that clients contact us directly to resolve any concerns before initiating a chargeback with their bank or card issuer.

Please note: Initiating a chargeback for services rendered without prior communication is a violation of these Terms. In the event of an unwarranted chargeback, we will submit all agreements, communication records, and proof of delivered work to the payment processor to dispute the claim.
Section 11

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Wyoming.
